Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "Customer") and TagLeak ("TagLeak", "we", "us", or "our") governing your access to and use of the website located at tagleak.com and all related products, software, APIs, applications, dashboards, and services provided by TagLeak (together, the "Service").
By creating an account, clicking "I agree", subscribing to a paid plan, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
1. The Service
TagLeak provides a software-as-a-service platform that scans websites for cookies, tags, trackers, and other data-collection technologies, and helps operators of those websites monitor and document their compliance with cookie-consent and privacy regulations (such as the GDPR, the ePrivacy Directive, and the CCPA/CPRA).
We may add, modify, or remove features of the Service at any time. We will endeavour to give reasonable notice of any material changes that adversely affect paying customers.
2. Eligibility
To use the Service, you must:
- be at least 18 years old (or the age of majority in your jurisdiction);
- be legally capable of entering into a binding contract;
- not be barred from using the Service under any applicable law; and
- only scan websites that you own, operate, or have the legal right to scan.
The Service is not intended for and must not be used by children under the age of 16.
3. Accounts
3.1 Registration
To access most features of the Service, you must create an account. You may sign up using your email address or via Google Sign-In. You agree to provide accurate, current, and complete information and to keep it up to date.
3.2 Account security
You are responsible for (a) safeguarding your login credentials, (b) all activity that occurs under your account, and (c) notifying us immediately at support@tagleak.com of any unauthorised use or suspected breach of security. We are not liable for losses arising from your failure to keep your credentials secure.
3.3 One account per user
You may not share your account with others, create multiple accounts to circumvent plan limits, or transfer your account to another person without our prior written consent.
4. Subscriptions, Fees, and Payment
4.1 Plans
The Service is offered under various subscription plans ("Plans"). The features, scan limits, and pricing of each Plan are described on tagleak.com. A free tier, trial, or beta plan may be offered at our discretion and may be changed or discontinued at any time.
4.2 Payment processor
All paid Plans are billed through Stripe, our third-party payment processor. By subscribing to a paid Plan, you also agree to Stripe's terms and privacy policy. We do not receive or store your full card details — only limited transactional metadata (see our Privacy Policy).
4.3 Billing and auto-renewal
- Subscription fees are billed in advance on a monthly or annual basis, depending on the Plan you select.
- Your subscription will automatically renew at the end of each billing cycle at the then-current rate, unless you cancel it before the renewal date.
- You authorise us (via Stripe) to charge your payment method on file for each renewal.
- If a payment fails, we may retry the charge and/or suspend your access until payment is successful.
4.4 Price changes
We may change our prices at any time. For existing paying customers, we will give at least 30 days' notice of any price increase, by email and/or through the Service, before it applies to your next renewal. If you do not accept the new price, you may cancel before the renewal takes effect.
4.5 Taxes
All fees are exclusive of VAT, sales tax, and other applicable taxes or duties, which you are responsible for paying unless we are required to collect them.
4.6 Refunds
Except where required by applicable law (including the EU consumer right of withdrawal, where applicable), all fees are non-refundable and we do not provide refunds or credits for partial subscription periods, unused features, or downgrades.
4.7 Cancellation
You may cancel your subscription at any time from your account settings or by emailing support@tagleak.com. Cancellation takes effect at the end of the current billing period; you will retain access until then, and you will not be charged again.
4.8 Free trials
If we offer a free trial, we will tell you the length of the trial and what happens at the end. Unless you cancel before the trial ends, you will be automatically charged for the applicable Plan.
5. Acceptable Use
You agree not to, and not to permit any third party to:
- use the Service to scan, probe, or interact with any website, system, or network that you do not own, operate, or have explicit authorisation to scan;
- use the Service in a way that violates any applicable law or regulation, including data protection, anti-spam, anti-hacking, and export control laws;
- use the Service to send spam, malware, or malicious code, or to engage in phishing or fraud;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except to the extent such restriction is prohibited by applicable law;
- copy, resell, sublicense, rent, lease, or otherwise commercially exploit the Service without our prior written consent;
- use the Service to build, train, or benchmark a competing product;
- interfere with, disrupt, or impose an unreasonable load on the Service or the infrastructure that supports it;
- attempt to gain unauthorised access to any part of the Service, other accounts, or related systems;
- scrape, harvest, or automatically collect data from the Service except through officially documented APIs and within their published limits;
- remove, alter, or obscure any proprietary notices in the Service.
We reserve the right to investigate suspected violations and to suspend or terminate accounts that violate these Terms.
6. Customer Data
6.1 Definition
"Customer Data" means any data, content, URLs, configurations, and scan results that you submit to or generate through the Service.
6.2 Ownership
As between you and TagLeak, you retain all rights in Customer Data. We do not claim ownership of Customer Data.
6.3 Licence to us
You grant TagLeak a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, process, and otherwise use Customer Data solely as necessary to provide, secure, and improve the Service, to comply with law, and to enforce these Terms.
6.4 Your responsibilities
You represent and warrant that (a) you have all rights, consents, and authorisations necessary to submit Customer Data to the Service, (b) Customer Data does not infringe any third-party rights or violate any law, and (c) your use of the Service complies with all applicable data-protection laws with respect to any personal data contained in Customer Data.
6.5 Data processing
Where TagLeak processes personal data on your behalf as a data processor (for example, when you scan your own website), this is governed by our Data Processing Addendum (DPA), which is incorporated by reference into these Terms for customers subject to the GDPR, UK GDPR, or equivalent legislation. A copy is available on request at support@tagleak.com.
6.6 Aggregated and anonymised data
We may generate and use aggregated, anonymised, or de-identified data derived from Customer Data (for example, statistics about the prevalence of cookies or trackers) for any lawful business purpose, including to operate, improve, and promote the Service. Such data will not identify you or any individual.
7. Intellectual Property
7.1 Our IP
The Service, including all software, source code, designs, text, graphics, logos, trademarks, APIs, and documentation, is owned by TagLeak or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during your subscription.
7.2 Reservation of rights
All rights not expressly granted to you are reserved by TagLeak. No rights are granted by implication, estoppel, or otherwise.
7.3 Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them for any purpose without obligation or compensation to you.
8. Third-Party Services
The Service may integrate with or rely on third-party services (for example, Stripe, Google, cloud hosting providers, analytics, and advertising partners). We are not responsible for the acts, omissions, availability, or content of any third-party service, and your use of them is subject to their own terms and policies.
9. Service Availability; No SLA
We strive to keep the Service available and performing well, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or continuously available. We may perform scheduled maintenance, apply updates, or experience unplanned downtime. Unless a separate service-level agreement has been signed between us in writing, no uptime commitment applies.
10. Suspension and Termination
10.1 By you
You may terminate these Terms at any time by cancelling your subscription and closing your account.
10.2 By us
We may suspend or terminate your access to the Service, in whole or in part, at any time and with or without notice, if:
- you breach these Terms or the Acceptable Use provisions;
- your payment is overdue;
- we are required to do so by law or a regulatory authority;
- we reasonably suspect fraud, abuse, or a security risk; or
- we discontinue the Service or a material part of it.
10.3 Effect of termination
Upon termination, your right to access and use the Service ends immediately. We may delete Customer Data after a reasonable retention period, as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 4.6, 6, 7, 11, 12, 13, 14, and 15) will survive.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
TagLeak is a compliance-assistance tool, not a legal service. We do not provide legal advice. The output of the Service (including scan reports, recommendations, and documentation) is provided for informational purposes only and does not constitute legal advice or a guarantee of compliance with any law or regulation. You are solely responsible for ensuring that your websites, apps, and business practices comply with applicable law, and you should consult a qualified lawyer for legal advice.
Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable consumer protection law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT WILL TAGLEAK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) EUR 100.
(c) THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms excludes or limits liability for (i) death or personal injury caused by negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless TagLeak and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) Customer Data, including any claim that it infringes a third-party right or violates applicable law.
14. Modifications to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and notify you by email or through the Service at least 15 days before the changes take effect (or sooner if required by law or security). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them. If you do not agree, you must stop using the Service and cancel your subscription.
15. Governing Law and Dispute Resolution
15.1 Governing law
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws principles.
15.2 Jurisdiction
Subject to Section 15.3, the courts of Limassol, Cyprus will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service.
15.3 Consumers
If you are a consumer resident in the European Union, you have the right to bring proceedings in the courts of your country of residence, and mandatory provisions of the law of your country of residence apply. You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
15.4 Informal resolution
Before filing a claim, you agree to attempt to resolve the dispute informally by contacting support@tagleak.com. We will try to resolve the matter within 30 days.
16. General
16.1 Entire agreement
These Terms, together with the Privacy Policy and any DPA or order form signed between us, constitute the entire agreement between you and TagLeak regarding the Service and supersede all prior agreements and understandings.
16.2 Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets.
16.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.4 No waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
16.5 Force majeure
We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, strikes, internet or telecommunications failures, governmental actions, pandemics, or natural disasters.
16.6 Relationship of the parties
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and TagLeak.
16.7 Notices
We may give notices to you by email (to the address associated with your account) or by posting them on the Service. You must give notices to us at support@tagleak.com.
16.8 Language
These Terms are drafted in English. Any translation is provided for convenience only; the English version prevails in the event of conflict.
